1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Proviso Review LLC ("Proviso Review," "we," "us," or "our"), including the tools available at provisoreview.com and app.provisoreview.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Proviso Review provides software that analyzes law-firm invoices you upload, identifies potential billing irregularities, and generates draft correspondence (such as reduction-request or itemization-request messages) for your review and use.
3. Not Legal Advice; No Attorney-Client Relationship
Proviso Review is a software tool. It is not a law firm, does not practice law, and does not provide legal advice. Using the Service does not create an attorney-client relationship. The analyses, flags, dollar figures, and draft messages the Service produces are automated, informational outputs that may contain errors or omissions and are not a substitute for the judgment of a licensed attorney. You are solely responsible for reviewing all outputs and for any decisions you make or actions you take based on them. You should consult a qualified attorney regarding your specific situation.
4. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for safeguarding your credentials and all activity that occurs under your account.
5. Subscriptions, Billing, and Cancellation
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Plans renew automatically until cancelled. You may cancel at any time through your account or billing portal; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable. We may change pricing prospectively with reasonable notice.
6. Your Content and Uploaded Materials
"Your Content" includes the invoices, documents, and other materials you upload. You retain ownership of Your Content. You grant us a limited license to host, process, and analyze Your Content solely to provide the Service, including transmitting its contents to our AI processing provider as described in our Privacy Policy. You represent and warrant that you have all rights necessary to upload Your Content and to have it processed, and that doing so does not violate any confidentiality obligation, privilege, contract, or law. Do not upload material you are not authorized to share.
7. Acceptable Use
You agree not to misuse the Service, including by attempting to disrupt, reverse-engineer, or gain unauthorized access to it; uploading unlawful content or malware; using it to violate any third party's rights; or reselling or providing the Service to others except as permitted by your plan.
8. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will identify all billing issues, that its findings or suggested amounts are accurate or appropriate, or that the Service will be uninterrupted or error-free.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVISO REVIEW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Proviso Review from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms.
11. Termination
We may suspend or terminate your access for violation of these Terms or as necessary to protect the Service. You may stop using the Service at any time.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
